Terms & Conditions

Scope and agreement

Adlooper is developed and operated by Solvigo AB, the company behind the service. These Terms & Conditions govern business use of Adlooper. Solvigo AB’s company registration number is 559529-3647, Valhallavägen 140, 114 59 Stockholm, Sweden.

The customer’s accepted order or separate service agreement defines the services purchased. These terms apply where incorporated into that arrangement. In the event of a conflict, a separately agreed contract or order takes precedence; a data processing agreement governs the processing to which it applies. The person accepting an arrangement on behalf of a customer must have authority to bind that customer. Submitting a website access request does not create a paid subscription.

Service provision

Adlooper supports marketing production, campaign workflows, reporting and analysis within the agreed service scope. Solvigo will provide the agreed services with reasonable care and skill. Features may depend on third-party platforms, permissions, account eligibility and available data.

Solvigo may maintain and update the service to improve functionality, reliability or security. Material changes affecting the agreed scope, and any specific support or availability commitments, are governed by the customer agreement. Access may be interrupted by maintenance, technical incidents or third-party restrictions.

Customer responsibilities

The customer is responsible for its authorised users, accurate account information, the security of its credentials and the instructions it provides. The customer must hold the rights and permissions needed for uploaded material, connected accounts and the processing it requests, and must comply with applicable law and connected-platform terms.

The service must not be used to access information without authority, interfere with another customer’s use, bypass security controls, distribute unlawful content or infringe another party’s rights. The customer must notify Solvigo promptly of suspected unauthorised account access.

Connected platforms and advertising

Connections give Adlooper access to the assets and permissions authorised by the customer. The customer chooses the level of automation, including requiring approval before each action. Publishing, campaign changes and automated actions are limited to the customer’s configured or expressly agreed mandate. The customer is responsible for the budgets and mandates it approves and for reviewing activity on its connected accounts.

Third-party platforms control their own services, approval processes and access conditions. Revoking an integration may disable related Adlooper features but does not necessarily pause campaigns already running on those platforms. Advertising spend and other third-party charges remain the customer’s responsibility unless otherwise agreed.

Content and intellectual property

The customer retains its rights in materials it provides. It grants Solvigo permission to host, process, reproduce and adapt those materials solely as needed to provide the agreed services, including through relevant service providers. The customer is responsible for the accuracy and permitted use of its materials and advertising claims.

Solvigo and its licensors retain their rights in the Adlooper software, technology and service materials. The customer may use the service within its agreed scope and duration. Subject to applicable law, third-party rights and any expressly agreed licence restrictions, the customer may use, reproduce, adapt and publish outputs delivered to it for commercial purposes, including after the service ends. To the extent Solvigo holds rights needed for that use, Solvigo grants the customer a continuing, non-exclusive licence to exercise them. This does not transfer rights in the underlying software or guarantee that AI-generated outputs are exclusive or eligible for copyright protection.

AI-assisted content and analysis

AI-generated content, recommendations, forecasts and analytical outputs may contain errors, omissions or similarities to material produced for others. The customer is responsible for appropriate review before publication or reliance, including factual accuracy, regulatory requirements, brand suitability and third-party rights.

Advertising attribution and modelled results are estimates and do not necessarily establish causation. Solvigo does not guarantee advertising approval, conversion rates, revenue or other commercial outcomes.

Confidentiality

Each party must protect the other’s confidential business information and use it only to perform or receive the agreed services. Access must be limited to personnel, advisers and service providers who need the information for that purpose and are subject to appropriate confidentiality obligations.

This obligation does not apply to information that is public without breach, already lawfully known, independently developed or lawfully received from another source. A party may disclose information where legally required, providing notice where permitted. Confidentiality obligations continue for as long as the information remains confidential.

Data protection

The Privacy Policy describes how Solvigo handles personal data. Processing personal data on the customer’s behalf requires a data processing agreement governing the parties’ roles and obligations. The customer is responsible for lawful instructions and required notices and permissions.

Requests relating to personal data, including deletion, can be submitted using the instructions in the Privacy Policy.

Fees and payment

Fees, payment dates, billing periods and any taxes or charges are governed by the accepted order or customer agreement. Advertising spend and third-party services are excluded from Adlooper fees unless expressly included. Additional services or changes to scope require agreement between the parties.

Duration, suspension and termination

The service duration, renewal and cancellation conditions are set out in the customer agreement. Solvigo may restrict access to the extent reasonably necessary to address unlawful use, a material breach or a security threat. Where practicable, Solvigo will explain the reason and allow the customer to remedy the issue; urgent restrictions may be applied immediately.

On termination, the customer’s right to use the service ends. Personal data processed on the customer’s behalf is deleted or returned at the customer’s choice, subject to applicable legal retention requirements and the data processing agreement. The customer’s continuing rights to delivered outputs are unaffected. Termination does not remove accrued payment obligations or stop campaigns and charges on external platforms. Provisions intended to continue, including confidentiality and accrued rights, survive termination.

Responsibility and liability

Each party is responsible for performing its obligations under the agreement and applicable law. Any agreed allocation or limitation of liability is set out in the customer agreement. Where no specific provision applies, responsibility is determined under applicable law. Nothing in these terms excludes liability or rights that cannot lawfully be excluded.

Governing law and disputes

These terms are governed by Swedish law, subject to mandatory applicable law. Any dispute resolution provisions in a separately agreed customer contract take precedence. Otherwise, disputes are determined by the courts having jurisdiction under applicable law.

Changes and contact

Solvigo may update these terms and will notify affected customers of material changes before they apply as required by the customer agreement or law. Updates do not override a separately signed agreement.
